Wardmore closes inaugural $386.45 million equipment receivables securitization

— Wardmore Health Capital today closed its first term securitization, issuing $386,450,000 of notes through Wardmore Healthcare Equipment Receivables Trust 2025-1 (“WHERT 2025-1”). The notes are backed by 3,914 leases, Critical Care Subscriptions and Utilization Pricing agreements with 412 hospitals and health systems in the United States.

The notes were issued in six classes, rated from AAA (sf) to BBB (sf) by two rating agencies. The transaction was more than three times oversubscribed.

“A term securitization gives us long-dated funding that matches the life of the equipment we finance,” said Anil Raghavan, Chief Financial Officer. “It also means our portfolio is now reported on in public, every month, which we welcome.”

The notes were offered in a private placement to qualified institutional buyers under Rule 144A and outside the United States under Regulation S, and have not been registered under the Securities Act of 1933. This announcement is not an offer to sell or a solicitation of an offer to buy any security.
